These Terms and Conditions ("Terms") are entered into between Stampin’ Up! Canada ULC (hereinafter “Stampin’ Up!” or “We”) with registered offices located at 600-1741 Lower Water Street, Halifax, Nova Scotia, B3J 2X2, Canada, and Customer, also referred herein as (“You” and “Your”), as of the date of your acceptance of the terms (“Effective Date”) and govern the use of Stampin’ Up!’s monthly Paper Pumpkin subscription ("Service"). By subscribing you acknowledge you have read and agree to be bound by the Terms. If You do not agree to these Terms, do not subscribe to the Service.

ABILITY TO ACCEPT THESE TERMS

By subscribing to the Service, You affirm that You have reached the age of majority in Your jurisdiction of residence, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and to abide by and comply with these Terms.

HOW TO SUBSCRIBE

Create or login to your Stampin’ Up! account and visit the Subscription page www.stampinup.ca/subscriptions/paper-pumpkin-kits, choose a subscription and complete checkout, see Service Plans and Payment.

SERVICE PLANS AND PAYMENT

The Service includes a monthly Paper Pumpkin kit (“Kit”) delivered to a specified address. Each Kit includes materials and instructions to create handmade cards, tags, and more! Shipping costs are included as part of the Service fee.

Pay-as-you-go. Payment for Your first Kit is due at sign-up. The Service automatically renews on the 11th day of each month.  You will be required to provide separate express informed consent to these recurring charges at the time of checkout. You will be charged for the next Kit at the time of renewal. Note: Debit card payments require separate pre-authorized debit agreements for recurring charges. Stampin’ Up! Will send a reminder email to the email You provided at least 5 days prior to renewal with a link to manage or cancel Your Service.

Pre-pay. You may pre-pay upfront for 3, 6, or 12 months Service. A single upfront payment covers the entire Service period and ensures delivery without the need for monthly billing.  Pre-pay plans are non-refundable except for residents of Quebec or as otherwise provided by law.

You are responsible for the payment of all sales tax, use tax, goods and services tax, harmonized sales tax, and any other taxes, charges, duties or other fees associated with Your purchase which may be charged in Your jurisdiction. Any payments made by any credit card are subject to the approval of the financial institution that has issued the credit card. By providing Your payment method, You: (a) represent that all information provided by You in connection with Your subscription is true and accurate, (b) represent that You are an authorized user of the payment method provided, and (c) authorize Stampin’ Up! to charge the full amount due for Your purchase to such payment method.

CANCELLATION AND REFUNDS

Cancellation: You may cancel Your Pay-as-you-go Service using the same method You used to sign up, or by following the instructions found by clicking on the clearly labeled ‘Cancel Subscription’ button in Your account settings. It is not required to call or email to cancel. Cancellations must be made on or before the 10th of the month to avoid being charged for the next month’s kit. Upon providing You with a 60-day advance written notice, Stampin’ Up! may cancel the Service.

Refunds for Pre-Pay 3, 6, 12 Month Service: We do not provide refunds for partially used Service periods. If You choose to cancel Your Service, You will retain access to the Service until the end of Your pre-paid Service term. If You are a resident of Quebec and You choose to cancel Your Service, Stampin’ Up! will refund the remaining portion of your subscription.

MONTHLY OPTION TO SKIP

You may pause your Service on a monthly basis by electing the skip option on the Subscription page when logged into your account on the Stampin’ Up! website (“Website), on or before the 10^th day of the month. Choosing the skip option pauses Your Service for only the month indicated when skipping. Service will resume the following month.

GIFTED SERVICE

Services may be purchased by You and delivered to a third-party recipient (“Gift Recipient”). You retain full control over the Service, including payment, renewal, and shipping details. The Gift Recipient will receive the products but cannot manage the Service.

By purchasing a gift Service, You represent that You have the Gift Recipient’s consent to share their personal information, which will be used solely to fulfill the Service in accordance with Stampin’ Up!  Privacy Policy.

You acknowledge that beyond shipment and any obligations required by law, Stampin’ Up!  has no other obligation to the Gift Recipient. Notwithstanding anything to the contrary, these Terms create no third-party beneficiary rights that are not required by law.

SHIPPING AND DELIVERY

Shipping: Kits are shipped monthly to the shipping address provided by You at purchase. Shipping costs are included in the Service fee.

Delivery: Delivery times may vary based on location. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not responsible for delays caused by postal services or other factors beyond our control.

CHANGES TO SERVICE PLANS AND PRICING

We reserve the right, upon providing You 30 days advance notice, to modify these terms and conditions, including, without limitation, the Service plans, price and payment, shipping and delivery, cancellation and refunds, gifted service and monthly skip options, and Stampin’ Rewards eligibility and qualifications. Changes will take effect on the billing cycle following the expiration of the 30 day advance notice.

If You are a resident of Quebec, any changes to pricing or material terms will only take effect upon Your express consent.

PRIVACY AND DATA PROTECTION

You are responsible to ensure the information in Your profile is accurate and remains current.  Stampin’ Up! is not responsible for inaccurate information provided by You.  You consent to the collection use and disclosure of Your personal information by Stampin’ Up! in connection with the Service. For information on how We handle personal information, please see the Privacy Policy .

LIMITATION OF LIABILITY (NOT APPLICABLE TO QUEBEC RESIDENTS)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAMPIN’ UP! SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, AGGRAVATED OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

SOME JURISDICTIONS, INCLUDING CERTAIN CANADIAN PROVINCES, DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY APPLICABLE LAW.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL RELATED CONTENT, MATERIALS, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. STAMPIN’ UP! DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. STAMPIN’ UP! DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

GOVERNING LAW

These Terms shall be governed by the laws of Canada, as applicable. You acknowledge and agree that any dispute that may arise with Stampin’ Up! in respect of these Terms and the transactions contemplated herein shall be resolved by the Courts sitting in the City of Vancouver, in the Province of British Columbia and You hereby irrevocably submit to the non-exclusive jurisdiction and venue of these Courts. If You are a resident of Quebec, these Terms shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.

SEVERABILITY

Should any provision or part of any provision of these Terms be deemed invalid by any court, that provision, or portion of the provision, shall be severed, and the remaining provisions shall remain intact with the necessary amendments.

ASSIGNMENT AND ENUREMENT

NO WAIVER

Any failure to enforce any provision(s) of these Terms or to respond to a breach by You or any third party of these Terms shall not in any way waive the right of Stampin’ Up! to subsequently enforce any of the Terms contained herein or to act with respect to other similar or future breaches.

ENTIRE AGREEMENT

The Terms, together with Website terms of use, all other agreements, terms or conditions incorporated or referred to herein, constitute the entire agreement between You and Stampin’ Up! with respect to the Services and its contents supersede any prior understandings or agreements (whether electronic, oral or written) regarding the subject matter hereof.

Stampin’ Up! Independent Demonstrator participation in this Service is voluntary and will not adversely affect their Demonstratorship.
